Terms of Service

1. Provider and scope

The service is provided by EducaGrade sp. z o.o., ul. Prosta 51, 00-838 Warszawa, Polska (KRS 0000876543, NIP 5252891234). EducaGrade is a software-as-a-service assessment platform for educational institutions, teaching staff and administrators.

2. Accounts and eligibility

Accounts are created by an authorised representative of an institution or by an individual educator acting in a professional capacity. You are responsible for the accuracy of registration data, for credential confidentiality, and for the activity of users you invite.

3. Subscriptions, trials and billing

Plans are offered on a monthly or annual basis. Trials last 14 days and require no payment method; unless converted, the account is downgraded at the end of the trial. Fees are stated net of VAT, which is added according to applicable EU rules. Annual plans are invoiced in advance; monthly plans renew automatically until cancelled.

4. Cancellation and withdrawal

You may cancel at any time from account settings, with effect at the end of the current billing period. Consumers who are not acting in a business capacity have a 14-day statutory right of withdrawal from the date of contract conclusion; exercising it where the service has already been fully performed at your explicit request may reduce the refund proportionally.

5. Acceptable use

You agree not to:

• upload unlawful content or data you have no right to process;
• attempt to bypass access controls, probe, or overload the infrastructure;
• reverse-engineer, resell or sublicense the platform without written consent;
• use the platform to make fully automated decisions about individuals without human review.

6. Intellectual property

EducaGrade, its software, interfaces, documentation and trademarks remain the exclusive property of the provider. You receive a non-exclusive, non-transferable right to use the platform for the duration of the subscription. Content you upload — including rubrics, assignments and grades — remains yours; you grant us a limited licence to host and process it to deliver the service.

7. Availability and support

We target 99.9% monthly availability, excluding announced maintenance windows. Enterprise agreements may include a contractual SLA with service credits. Support is provided in English, French, Spanish and Polish during business hours (CET).

8. Limitation of liability

To the extent permitted by law, our aggregate liability arising from the contract is limited to the fees paid in the 12 months preceding the event. We are not liable for indirect or consequential damages, lost profits, or data loss where you have not used available export and backup functions. Nothing in these terms excludes liability for wilful misconduct, gross negligence, personal injury, or statutory consumer rights.

9. Data protection

Where we process personal data on your behalf, the Data Processing Agreement applies and forms an integral part of these terms. Details of our own processing are set out in the Privacy Policy.

10. Governing law and disputes

These terms are governed by Polish law, without prejudice to mandatory consumer protections in your country of residence. Disputes are subject to the courts competent for the seat of the provider; consumers may also use the EU online dispute resolution platform.

11. Changes

We may amend these terms for legal or product reasons with at least 14 days' notice. Continued use after the effective date constitutes acceptance; otherwise you may terminate before that date.
